    Terms of Service

    1. Acceptance of Terms

    By accessing or using the Candoo Solutions, Inc. ("Candoo," "we," "our," or "us") website, mobile application, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

    2. Description of Services

    Candoo provides a home concierge platform through our website (candoo.co), mobile application, and related backend services. Our Services enable homeowners to:

    • Submit service requests ("Tasks") for home maintenance, repairs, and improvements
    • Authorize Candoo to coordinate with qualified vendors and service providers on their behalf
    • Receive updates and communications regarding their Tasks via email, SMS, and in-app messaging
    • Pay for subscription services and Task-related fees through the platform

    While we facilitate connections with service providers and coordinate work on your behalf, Candoo does not perform the actual home services and is not responsible for the work performed by third-party vendors.

    3. User Accounts

    To use certain features of our Services, you must create an account. You agree to:

    • Provide accurate, current, and complete information during registration
    • Maintain and promptly update your account information
    • Keep your password secure and confidential
    • Accept responsibility for all activities that occur under your account
    • Notify us immediately of any unauthorized use of your account
    • Maintain a valid payment method on file if you use paid features

    4. Tasks and Agency Authorization

    When you submit a Task through the Services, you grant Candoo limited authority to act as your agent for the purpose of coordinating home services. This authorization includes:

    • Vendor Communication: Contacting, negotiating with, and coordinating third-party vendors and service providers on your behalf
    • Information Sharing: Sharing relevant details about your property, service needs, preferences, and contact information with vendors to facilitate service delivery
    • Scheduling: Arranging appointments and service visits based on your stated availability and preferences
    • Payment Authorization: Processing approved payments to vendors for completed work, as described in Section 6

    This agency authorization is limited to the specific Tasks you submit and does not create a general power of attorney. You retain the right to approve or reject vendor quotes and services before work begins. We will seek your approval for any costs that exceed agreed-upon estimates.

    5. Task Data and Content License

    When you submit a Task, you may provide information, photos, descriptions, and other content ("Task Data"). By submitting Task Data, you grant Candoo a non-exclusive, royalty-free, worldwide license to:

    • Use, store, and process Task Data to fulfill your service requests
    • Share Task Data with vendors and service providers as necessary to complete Tasks
    • Use anonymized or aggregated Task Data to improve our Services

    You represent that you have the right to share any Task Data you submit and that it does not violate any third-party rights.

    6. Payments, Fees, and Subscriptions

    Subscription Services

    Candoo offers subscription plans that provide access to premium features. By subscribing, you agree to:

    • Recurring Billing: Your subscription will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date
    • Payment Authorization: You authorize us to charge your designated payment method for subscription fees
    • Price Changes: We may change subscription pricing with at least 30 days' notice; price changes take effect at your next billing cycle

    Task-Related Payments

    When you request a Task that involves third-party vendor services:

    • Quotes and Approval: We will provide you with cost estimates or quotes before work begins. By approving a quote, you authorize Candoo to charge your payment method for the approved amount
    • Vendor Costs: You authorize Candoo to pay vendors on your behalf for approved work and to charge your payment method accordingly
    • Service Fees: Candoo may charge a service fee or coordination fee in addition to vendor costs, which will be disclosed before you approve the Task
    • Additional Costs: If unforeseen issues arise that require additional work beyond the original quote, we will seek your approval before proceeding with additional charges
    • Handyman Services: Candoo provides in-house handyman services (“Candoo Supers”) at a rate of $85 per hour. Handyman rates are subject to change with at least 30 days’ notice
    • Concierge Fee: When Candoo sources a third-party vendor on your behalf, a concierge fee of 10% of the vendor’s total cost will be applied. This fee covers vendor vetting, coordination, and quality assurance. The concierge fee does not apply to vendors you source independently. For more details, see our Concierge Fee page

    Payment Processing

    All payments are processed through our third-party payment processor, Stripe. By providing payment information, you agree to Stripe's terms of service. You represent that:

    • You are authorized to use the payment method provided
    • All payment information is accurate and current
    • You will promptly update payment information if it changes

    Refunds and Cancellations

    Subscription fees are generally non-refundable. If you cancel, you will retain access until the end of your current billing period. Refunds for Task-related payments will be handled on a case-by-case basis and may depend on the status of vendor work. Contact us at support@candoo.app for refund requests.

    7. SMS and Text Message Communications

    By providing your phone number and opting in to SMS notifications, you consent to receive text messages from Candoo regarding:

    • Task status updates and vendor coordination
    • Appointment confirmations and reminders
    • Phone number verification
    • Important account and service notifications

    Message Frequency: Message frequency varies based on your Task activity and service needs.

    Opt-Out: You may opt out of SMS messages at any time by replying STOP to any message, updating your notification preferences in your account settings, or contacting us at support@candoo.app. Opting out of SMS may limit our ability to provide timely Task updates.

    Carrier Fees: Standard message and data rates may apply depending on your mobile carrier plan. Candoo is not responsible for any fees charged by your carrier.

    8. Third-Party Service Providers and Vendors

    Candoo coordinates with independent third-party vendors and service providers to fulfill your Tasks. You acknowledge and agree that:

    • Vendors are independent contractors, not employees or agents of Candoo
    • Candoo does not control, supervise, or direct the manner in which vendors perform their work
    • Any contract for services is ultimately between you and the vendor
    • Candoo is not responsible for the quality, safety, timeliness, legality, or completion of work performed by vendors
    • Candoo does not guarantee any particular outcome or result from vendor services
    • You should verify that vendors carry appropriate licenses and insurance for the work being performed

    While Candoo strives to work with reputable, qualified vendors, we make no warranties or representations regarding any vendor's skills, qualifications, or work product. Any disputes regarding the quality of vendor work should be reported to Candoo, and we will work in good faith to help resolve issues, but ultimate responsibility lies with the vendor.

    9. User Conduct

    You agree not to:

    • Use the Services for any unlawful purpose or in violation of these Terms
    • Impersonate any person or entity or misrepresent your affiliation
    • Interfere with or disrupt the Services or servers connected to the Services
    • Attempt to gain unauthorized access to any portion of the Services
    • Use any automated means to access the Services without our permission
    • Harass, abuse, or harm other users, vendors, or service providers
    • Post or transmit any content that is defamatory, obscene, or offensive
    • Submit false or misleading Task information
    • Circumvent the platform to engage vendors directly for the purpose of avoiding Candoo fees

    10. Intellectual Property

    The Services and all content, features, and functionality (including but not limited to the website, mobile application, software, text, graphics, logos, and design) are owned by Candoo and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

    11. Disclaimer of Warranties

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTIES REGARDING THE QUALITY, RELIABILITY, OR AVAILABILITY OF ANY THIRD-PARTY VENDORS OR THEIR SERVICES.

    12. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANDOO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. THIS INCLUDES, WITHOUT LIMITATION:

    • Any damages arising from the acts or omissions of third-party vendors
    • Property damage or personal injury caused by vendor services
    • Delays or failures in Task completion
    • Any disputes between you and vendors

    OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO CANDOO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

    13. Indemnification

    You agree to indemnify, defend, and hold harmless Candoo and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) violation of these Terms; (c) infringement of any third-party rights; (d) any Task Data you submit; or (e) any dispute between you and a vendor regarding services performed.

    14. Termination

    We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us. Upon termination:

    • Your right to use the Services will immediately cease
    • Any pending Tasks may be cancelled or transferred at our discretion
    • You remain responsible for any outstanding payments or fees
    • Provisions of these Terms that by their nature should survive termination shall survive

    15. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

    16. Dispute Resolution

    Any dispute arising from these Terms or your use of the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association. You agree that any arbitration will be conducted on an individual basis and not as a class action.

    17. Changes to Terms

    We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or prominent notice within the Services. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and cancel your account.

    18. Severability

    If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

    19. Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Candoo regarding your use of the Services and supersede any prior agreements.
